3. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and timely information, materials, and access as required
• Designate a primary point of contact for communication and approvals
• Review and provide feedback on deliverables within agreed timeframes
• Ensure that any content, images, or materials you provide to us do not infringe any third-party intellectual property rights
• Make payments on time as per the agreed schedule

4. Payment Terms

Payment terms, amounts, and schedules will be outlined in your individual Service Agreement or invoice. General payment terms include:

• A deposit or advance payment may be required before work commences
• Invoices are payable within 7–14 days of issue unless otherwise agreed
• Late payments may result in a pause or suspension of services
• All fees are exclusive of applicable taxes (GST or other taxes as applicable)
• Refunds are subject to our Refund Policy as outlined in individual service agreements

5. Intellectual Property

Upon receipt of full payment for the relevant services, ownership of final deliverables created specifically for you (such as website designs, written content, and graphic assets) will transfer to you. We retain ownership of:

• Our proprietary tools, templates, frameworks, and methodologies
• Any pre-existing intellectual property we bring to the project
• Our portfolio rights to display your project as an example of our work, unless you request otherwise in writing

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. We will not disclose your business information, strategies, or data to third parties without your written consent, except as required by law or necessary to deliver our services (e.g., sharing access with our team or approved subcontractors).

7. Results & Performance Disclaimer

Any projections or estimates we provide are based on our professional experience and are not binding guarantees of performance.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Digital Advance Growth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including loss of revenue, loss of data, or loss of business opportunity. Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the relevant service in the 3 months preceding the claim.

9. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant Service Agreement. Upon termination:

• You are responsible for payment of all work completed up to the termination date
• We will deliver all completed work and materials you have paid for
• Any ongoing subscriptions or retainer arrangements will cease at the end of the notice period
